Albert, Whitehead's practice in the commercial lending and business transactions areas consists of comprehensive representation of corporations, lending institutions and a variety of other businesses, from multi-national corporations to growing entrepreneurships.

We represent lenders, borrowers and institutional investors in securing construction and permanent loans for commercial properties, asset based loans and credit lines for business entities, and economic development and small business loans for smaller business entities.  Our services include structuring and negotiating loan documents, establishing joint ventures, drafting participation agreements, documenting securitized and municipal financings, creating sale/lease back transactions, and handling convertible and participatory mortgage transactions.

Albert, Whitehead provides a wide range of advice and counsel in the sale and acquisition of business units, including the negotiation and documentation of stock or asset purchase and sale agreements, transition service agreements, assignment of trademark and trade name agreements and other transitional documentation. The firm's attorneys assist business management and investors at the planning and structuring stages of transactions: assessing financial and legal feasibility; identifying and advising on business risks with legal implications; and otherwise evaluating these transactions for our clients. The experience of our attorneys includes representation of clients with respect to enforcement of limited partnership investor notes; general representation of clients in the area of lender liability claims; trustee and obligor liability under conduit financing vehicles related to the issuance of tax-exempt municipal bonds; and the counseling of clients in the restructuring of various financial guarantee pledge agreements in times of adverse market conditions to ensure the viability of the credit facility. We have also represented financial institutions in enforcement of various credit and security agreements.

In addition, the firm's business attorneys routinely advise various clients in the structuring, negotiation and documentation of financial guarantees, letters of credit and surety policies; municipal bond guarantees; real estate transactions, secured and unsecured lending transactions; and capital market transactions. Such representation has included the negotiation and drafting of reimbursement agreements, intercreditor agreements, letter of credit agreements, trust indentures, loan agreements, reimbursement agreements and guarantees.
